INGRAM MICRO RECEIVES
SHAREOWNER APPROVAL FOR EQUITY INVESTMENT IN
ELECTRONIC RESOURCES LTD.
Santa Ana, Calif., and Singapore, Dec. 24,
1997
Ingram Micro Inc., the world's leading wholesale
distributor of technology products and services,
announced today that it has completed the minority
equity ownership investment in Electronic Resources
Ltd. (ERL), Asia's leading electronic components
distributor.
Under the terms of the agreement, Ingram Micro
has purchased 21 percent of the outstanding shares
from ERL's two largest individual shareowners, with
an option to acquire 8.4 percent more shares
through April 30, 1999. In conjunction with the
joint equity investment, Ingram Micro entered into
agreements to provide ERL with technical and
information technology management services. In
addition, ERL shareowners elected David R. Dukes,
vice chairman of Ingram Micro, and Gregory M.
Spierkel, president of Ingram Micro Asia-Pacific,
to its board of directors.

public in 1993. In April 1997, ERL was elevated to
the main board of the Stock Exchange of Singapore,
and it trades under the symbol ER. The company is
one of the largest distributors of electronic
components -- including semiconductors -- and
