INGRAM MICRO SIGNS LETTER OF INTENT WITH SUN MICROSYSTEMS
Ingram Micro to Distribute Sun Microsystems' Full Line of UNIX Products

SANTA ANA, Calif., Aug. 13, 1996
Ingram Micro Inc. announced today it has signed a letter of intent with Sun Microsystems Computer Company (NASDAQ:SUNW) to distribute its complete line of open network computing products. The final contract is scheduled to be signed in September.

"We are very excited about forming a strategic business partnership with Sun," said Mary Galvin, vice president of VAR sales of Ingram Micro. "Today's announcement brings together the resources of two industry leaders, and has significant strategic implications for Ingram Micro. It clearly indicates incremental revenue opportunities for Ingram Micro's value-added resellers (VARs)."

Galvin added that Ingram Micro is uniquely qualified to help position Sun and their Internet offerings in the PC arena, where Ingram Micro has been a long-standing and dominant player. She added, "The channel provides the largest growth opportunity for Sun's products, and Ingram Micro is the undisputed leader in the wholesale distribution channel."

Sun's Full Line of UNIX and Internet Products

Ingram Micro will distribute the full range of Sun's UNIX products to targeted value-added resellers and dealers, including SPARC™ workstations and multiprocessors, as well as JAVA™, Sun's platform-independent programming language, and its latest Internet products, the Netra™ Internet and Netra NFS.

Galvin noted that Sun's premier UNIX product line will complement Ingram Micro's already well-rounded VAR product offerings, and increase Ingram Micro's leadership position in the VAR arena.

Sharon Blender, director of Sun's U.S. Master Reseller Program, said, "Ingram Micro's expertise in the PC and integrated networking marketplace will add a core competency to the Sun channel and expose major business opportunities for Sun's Netra product line."

Added Galvin, "Ingram Micro currently has a number of strong initiatives underway in its Telephony and Internet divisions, which -- together with Sun's Internet-based product offering -- will add tremendous value and synergy among both companies."

Developing the Ingram Micro/Sun Team
Ingram Micro will establish a Sun-dedicated division which will include Sun-certified and trained field sales representatives, sales engineers, and account executives.

Commenting on the team composition, Galvin said, "The Ingram Micro/Sun team will be 100 percent committed to marketing Sun's open network solutions products, as well as to recruiting new Sun VARs. In addition, we will establish cross-functional teams whose main focus will be on operations, configuration, technical support, purchasing, marketing and warehouse issues."

The teams will be "Competency 2000" certified, Sun's expert level of sales and technical product training.
