ELECTRONIC RESOURCES LIMITED CLOSES ITG COMPUTERS TAKEOVER OFFER

SYDNEY, Australia, April 12, 1999

Electronic Resources Australia Pty Limited, a subsidiary of Ingram Micro, announced today that the contract of sale for the purchase of the assets of ITG Computers Pty Ltd. was signed on April 12, 1999.

Following the acquisition, both organizations will continue to trade as separate entities and for the next 60 days it will be business as usual so there will be little or no disruption for resellers.

The back end integration of the two businesses is already under way and by the end of June 1999 the integration project will be completed. The merged organization will become the Australian office of U.S.-based IT distributor, Ingram Micro.

Over the coming months, it is expected that major announcements will be made in regards to new relationships with major vendors.

Mr. Michael Shea, Managing Director of ERA said, "The team at Electronic Resources is very excited about working as one company with the team from ITG Computers Pty Ltd. We now have a competitive edge to enhance our existing business relationships and develop new relationships within the channel."

"We are now moving towards a more customer focused organization. The immediate benefits of the merger for resellers include: multiple warehouses in each state location, software configuration tools, the development of a configuration center for resellers and the IMpulse system, which has direct shipment capabilities."

Commenting on the announcement, ITG's General Manager, Braham Shnider, said, "We are all excited about the prospect of joining forces with the world's leading IT distributor, Ingram Micro. We believe this creates enormous opportunities for all our resellers here in Australia."
